Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ServPool software-as-a-service product ("Service") provided by Kolidiscope, Inc. ("Kolidiscope", "we", "us"). By creating an account or using the Service you agree to these Terms.

1. The Service

ServPool helps pool service companies create branded service reports, track water chemistry over time, manage customer records, and email reports to their customers. Features and pricing may change as the Service evolves.

2. Your account

You must provide accurate registration information and keep your password secure. You are responsible for everything that happens under your account, including the activity of any team members you invite. You must be at least 18 years old or the age of majority in your jurisdiction.

3. Free trial & subscriptions

New accounts receive a 60-day free trial of the Service. After the trial, continued use requires an active paid subscription. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period and you will not be charged again.

The free trial is offered in exchange for the rights described in Section 4. By signing up for the trial you agree to those terms regardless of whether you ever upgrade to a paid plan.

4. Marketing communications & data use during the trial

By creating a trial account you grant Kolidiscope the right to:

Send you product communications, including feature announcements, tips, billing reminders, and offers, until you opt out;
Use aggregated and anonymized data derived from your use of the Service (such as the number of pools serviced, common chemistry readings, geographic distribution, retention metrics) for product analytics, benchmarking, and marketing materials;
Reference your company name and logo in customer lists and case studies, subject to your written request to opt out.

We do not sell your customers' personal information (their names, addresses, emails, phone numbers, photos) to third parties, nor do we contact your customers directly. See the Privacy Policy for details.

5. Your data & ownership

You retain ownership of all data you and your team enter into the Service, including customer records, photos, chemistry readings, and reports ("Customer Data"). You grant Kolidiscope a worldwide, royalty-free license to host, transmit, display, and back up your Customer Data solely as necessary to operate the Service for you. You may export or delete your Customer Data at any time.

6. Acceptable use

You agree not to use the Service to: violate any law; infringe intellectual property rights; transmit malware or harmful code; reverse-engineer, scrape, or attempt to gain unauthorized access; or use the Service to harass, defame, or send unsolicited bulk communications to third parties.

7. Intellectual property

The Service, including the ServPool software, the ServPool and Kolidiscope brands, logos, and the underlying source code, is owned by Kolidiscope and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.

8. Termination

You may terminate your account at any time by canceling your subscription and emailing hello@kolidiscope.com to request deletion. We may suspend or terminate your account if you breach these Terms. We will give you a reasonable opportunity to export your Customer Data before deletion.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS. KOLIDISCOPE IS NOT RESPONSIBLE FOR THE ACCURACY OF WATER-CHEMISTRY RECOMMENDATIONS GENERATED BY THE SERVICE; YOU AND YOUR TECHNICIANS ARE RESPONSIBLE FOR PROFESSIONAL JUDGMENT IN POOL CARE.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KOLIDISCOPE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO KOLIDISCOPE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED US DOLLARS ($100) IF NO PAYMENTS HAVE BEEN MADE.

11. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email or through an in-app notice. Continued use of the Service after the effective date of the updated Terms constitutes acceptance.

12. Governing law

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict of laws principles. Any dispute arising out of these Terms will be brought exclusively in the state or federal courts located in Duval County, Florida.
